Whilst it is no longer compulsory for limited companies to have a company secretary, because of the vital legal duties which the company secretary carries out to ensure that the company complies with the law, many companies still prefer to appoint a dedicated person for the role.
The company secretary’s duties include maintaining the company’s registered office, keeping up to date statutory records and filing annual returns (now known as the Confirmation Statement) as well as other documents to Companies House usually. Failure to file such documents could lead to the striking off of a company and or a fine from Companies House.
